The "How She Move" Contest (the "Contest") is intended for participation only in the United States and shall be construed according to, and governed exclusively by, United States law. Do not participate in the Contest if you are not a legal resident of the United States physically located in the United States at the time of entry, or do not fall within the eligibility requirements set forth in the Official Rules below.

HOW SHE MOVE synopsis:

Raya Green is seventeen-years-old, incredibly bright and full of promise. She attends a prestigious private school outside her tough, crime-ridden neighborhood. When a family tragedy leaves her family unable to pay her tuition, Raya is forced to return to the old community she so desperately wants to escape. She soon finds herself drawn into the world of underground dance competitions and smells an opportunity to win some money, get out of the neighborhood, help her family and return to her old school. But as the dance tournament unfolds, Raya realizes that real success only comes to those brave enough to tackle it on their own terms.

PROMOTION DESCRIPTION: The "How She Move" Contest (the "Contest") begins at 12:00 a.m. Pacific Time ("PT") on or about October 1, 2007 and ends at 11:59 p.m. PT on October 31, 2007 (the "Entry Period"). The Contest provides entrants with the opportunity to submit an original song or an original dance routine for consideration by Paramount Vantage, as more fully set forth below. Potential "Semi-Finalists" (defined below) will have the opportunity to perform their song or dance at events held in Atlanta, Chicago and Washington DC (each a "Semi-Finalist Event") where Finalists will be selected. The Finalist's songs and dances will be posted online for others to view and judge to select the Grand Prize winners, as more fully set forth below. The Grand Prize winners will be invited to perform their song or dance at the premiere of "How She Move" (the "Picture"). By participating in the Contest, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Paramount Vantage, 5555 Melrose Avenue, Hollywood, CA 90038-3197, ("Sponsor"), which shall be final and binding in all respects.

ELIGIBILITY: The Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least thirteen (13) years old at the time of entry. Any entrant who is under the legal age of majority in his/her state of residence (a "minor") should get his or her parent or legal guardian's permission to enter. A minor entrant must provide parental consent in form and substance suitable to Sponsor, in Sponsor's sole discretion, in order to participate in a "Semi-Finalist Event" or be confirmed as a Semi-Finalist. Sponsor, Sponsor's promotional partners, each Semi-Finalist Event organizer, and each of their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (collectively, the "Promotion Entities"), are ineligible to enter the Contest or win a prize.

HOW TO ENTER: To enter, visit the web site www.HOWSHEMOVE.com (the "Website"), complete the submission form found on the Contest page with the information requested, and follow the online instructions to upload and submit either your original song or dance routine (the "Submission") directly to the Website. As part of the entry process, entrants must select whether they want to be entered in the Atlanta, Chicago or Washington DC entrant pools (each, an "Entrant Pool" and combined, the "Entrant Pools"). Entrants may combine to perform and submit a group Submission, but each individual member of any such group must satisfy all eligibility requirements set forth herein. Groups may consist of no more than six (6) members. All group member names and contact information must be provided at the time of entry. Only those eligible group members whose names and contact information are provided during the entry process will be allowed to participate in a Semi-Finalist Event and/or win the Grand Prize, if applicable. Limit one Submission per person or group during the Contest Entry Period.

Song Submission Requirements: Each song Submission that is entered into the Contest must be the submitting entrant's original, previously unpublished work and not contain any third party copyrighted material. The song Submission must be uploaded to the Website in mp3 format and may be no longer than three (3) minutes.

Dance Submission Requirements: Each dance Submission that is entered into the Contest must be the submitting entrant's original, previously unpublished work and not contain any third party copyrighted material (including any music used for the dance routine). The dance Submission must be uploaded to the Website in .mov (QuickTime), .mpg (MPEG), .mp4 (MPEG-4), .wmv (Windows Media) or .avi (AVI) .3gp or .3g2 file format and may be no longer than three (3) minutes.

Submissions must be received by the end of the Contest Entry Period. No substitutions of new Submissions will be accepted once the original Submission is submitted for consideration. Any Submission that, in Sponsor's sole and absolute discretion fails to meet the submission requirements or is considered by Sponsor in its sole and absolute discretion to be obscene, pornographic, libelous, or otherwise objectionable, in whole or in part, will be disqualified and will not be eligible for entry. All requested information on the submission form must be completed to enter and to be eligible to win. Except as otherwise stated in these Official Rules, personal information collected in connection with this Contest will be used in accordance with the privacy policy found on the Website and with the consent given by an entrant at the time of entry. Any communication or information transmitted to Sponsor and/or the Website by electronic mail or otherwise is and will be treated as non-confidential and nonproprietary. Proof of submission is not considered proof of delivery to or receipt of such entry. Furthermore, Sponsor shall have no liability for any Submission that is lost, intercepted or not received by the Sponsor for any reason.
